Any agreements for web site desiging?

Web Site Design Agreement

1. Authorization.
The above-named Client (hereinafter referred to as "Client") is engaging Weblook International as an independent contractor for the specific purpose of designing a World Wide Web site, herein after referred to as "Web Design Project", to be published on the Client's account on an Internet Service Provider (ISP)/Web Presence Provider (WPP) computer, herein after referred to as "Hosting Service", or provided on diskette at the Client's option. The Client hereby authorizes Weblook International to access this account, and authorizes the Hosting Service to provide Weblook International and its designers, with "full access" to the Client's account, and any other programmed needed for this Web Design Project that are included as part of the Client's service agreement/level. The Client also authorizes Weblook International to submit the completed Web Design Project to major Web Search Engines.

2. Development.
This Web Design Project will be developed using Macromedia® Dreamweaver, Macromedia® Flash, Photoshop, Maya, 3DMAX, PhP, JAVA, Ajax

  • Browser Compatibility - Designing a web site to fully work in multiple browsers (and browser versions) can require considerable, extra effort. It could also involve creating multiple versions of code/pages. Weblook International represents and warrants that the web site we design for you will work in:
    • Microsoft® Internet Explorer versions 6 and up
    • Netscape Navigator/Communicator version 6 and up
    • Mozilla Firefox version 2.0 and up
  • For People with Disabilities – Weblook International' standard is to meet at least half the currently recommended guidelines for web site development. Without sacrificing quality and design, we try to ensure that the content and functions we build into our web sites are available to all visitors.

3. Assignment of Web Design Project.
Weblook International reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to ensure that the terms of this agreement are met as well as on-time completion.

4. Copyrights and Trademarks.
The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Weblook International for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend Weblook International and its subcontractors from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

If client is unable to provide graphics, images, pictures, text or everything required to develop the web site client shall pay royalty fee for the graphics, images, pictures and copyright fee for the text. Client must obtain a quotation for the same.

5. Web site Maintenance. This agreement includes minor webpage maintenance to regular web pages (not store product pages) over a two week period, including updating links and making minor changes to a sentence or paragraph. It does not include removing nearly all the text from a page and replacing it with new text. If the client or an agent other than Orlando Web Development attempts updating the client's pages, time to repair web pages will be assessed at the hourly rate, and is not included as part of the updating time. The two week maintenance period commences upon the date the client's web site is officially published to the web and all fully paid

Changes requested by the client beyond those limits will be billed at the hourly rate of $25. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, webpage design, editing, modifying product pages and databases in an online store, and art, photo, graphics services, and helping clients learn how to use their own webpage editor. Programming charges (if any) are not included in this rate. Programming charges will be billed at the rate of US $ 50 per hour

Changes to submitted text. Time required to make substantive changes to client-submitted text after the web pages have been constructed will be additionally, billed at the hourly rate.

6. Completion Date.
Weblook International and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project not later than 30 days (But this may vary according to project) after Client has submitted all necessary materials. If the Client does not supply Weblook International with complete text and graphics content for this Web Design Project within 45 days of the effective date of this agreement, the entire deposit amount of the agreement shall be retained by Weblook International as liquidated damages and the contract shall become null and void, at Weblook International' option, unless the Web Design Project is cancelled in writing by the Client prior to 45 days of the effective date of the agreement.

7. Project Delivery.
The final web site design project will be published to the Client's hosting service upon receipt of final payment or delivered via email upon the receipt of full payment. The Client understands that hosting services require a separate contract with the hosting service of the Client's choice. The Client agrees to select a hosting service from Weblook International or any other which allows Weblook International full access to the Client's account via FTP (File Transfer Protocol). The Client will be solely responsible for any and all hosting service charges. Weblook International is not responsible for any third party Hosting providers server errors or incompatibility with our programmed

In case the client has not secured Web space on a web hosting service by the time the web pages are completed, the web pages may be delivered to the client on diskette or attached to an e-mail message. Advertising the pages to Web search engines and updating occur only after the final payment is made. We accept Cheques, Cash, Credit card payments. Cheques must clear before website design will begin.

8. Electronic Commerce Laws.
The Client agrees that the Client is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Web Design Project or any other services contemplated herein, and will hold harmless, protect, and defend Weblook International and its subcontractors from any claim, suit, penalty, tax, fine, penalty, or tariff arising from the Client's exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.

9. Online stores only. (Cross out section for Standard Website Packages.) The text and graphic content of the web pages will be supplied by the client and executed as specified by the client in the "Website Planning Worksheet" dated _______________. and the Store Planning Worksheet dated _____________. It is understood that total prices calculated below are likely to vary from the final amount due to different quantities of products, categories, photos, regular pages, etc. in the final store. An Estimate from Orlando Web Development dated ____________ is attached to this document and governs the prices for this contract. Notwithstanding any prices listed in literature or on web pages, the client and Orlando Web Development agree that the services described above in this section shall be completed for $__________________ and upon this amount the first payment shall be determined. The final payment shall reflect and include all elements actually completed at the prices attached.

We include e-mail/phone consultation of up to 5 hours total general Internet orientation education, marketing strategy, Web design consultation, and helping clients learn to use the store software. Telephone long distance charges are in addition to package rates quoted. Additional education and consultation is at our hourly rate.)

Product web pages, products, or photos added after the store is ready for advertising to the Web search engines will be calculated for actual time spent at the hourly rate specified below

10. Web Design Project Copyright.
Copyright to the finished web design site produced by Weblook International will be owned by Weblook International. The Client will be assigned the rights to use the Web Design Project as a web site, once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files, and computer programs are not transferred to the Client, and remain the property of their respective owners. Weblook International and its subcontractors retain the right to display graphics and other Web Design elements as examples of their work in their respective portfolios. All Web Design Projects will contain a copyright/legal statement with a link to Weblook International' Design Services Web Site.

11. Payments.
Payments must be made promptly based on the terms of this Web Site Design Project. Weblook International reserves the right to remove any Web Design Project from viewing on the Internet until final payment is made. All payments are to be made within 2 days after the completion and approval of the Web Design Project by the Client. In case collection proves necessary, the Client agrees to pay all fees (including all attorney's fees and court costs) incurred by that process. Adding of Meta Tags (Description and Keywords) and the submission of the Web Design Project to Web search engines and updating occur only after the full final payment is made.

12. Payment Schedule.
Payment for services provided hereby shall be made in accordance with the conditions contained in this contract and the Package Price, attached hereto and made a part of this agreement. Notwithstanding any prices listed in literature or on Web pages, the Client and Weblook International agree that the services described in this contract, and the Package Price, shall be completed for $________. The Client agrees to pay to Weblook International an initial, non-refundable deposit of $________ (normally, 80% of the estimated total cost) upon execution of this agreement. Final payment is due within 5 days immediately prior to publication and/or delivery of the Web Site Design Project.

If the total amount of this Agreement is less than $200, the total amount shall be paid upon written acceptance this Agreement.

13. Legal Notice.
Notwithstanding anything to the contrary contained in this contract, neither Weblook International nor any of its employees or agents, warrants that the functions contained in the Web Design Project will be uninterrupted or error-free. The entire risk as to the quality and performance of the Web Design Project is with the Client. In no event will Weblook International be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, your or your site visitor's computer or Internet software, even if Weblook International has been advised of the possibility of such damages.

14. Initial Payment and Refund Policy.

If the client halts work and applies by registered letter for a refund within 30 days, to the Sole Proprietor of Orlando Web Development, ________________________, phone __________________ , work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract. The above also applies to upfront hosting fees. No refunds for hosting will be made after 30 days unless server logs demonstrate that the web site was not accessible via a standard internet browser viewable for a period more than 10%.

15. Trouble shooting method
According to Weblook international policy customer must open a trouble ticket for there questions via online by visiting www.weblook.com/support and the maximum response time to trouble tickets are 24 hrs (During working hours)

16. S.E.O (Search Engine Optimization)
Search engine optimization will be done according to customers web hosting packages. Setup Fee may vary according to the keyword; Weblook International recommended search engines are google.com, yahoo.com, msn.com, alltheweb.com

17. This Agreement.
This agreement constitutes the sole agreement between Weblook International and the Client regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both Client and Weblook International. All prices specified in this contract will be honoured for 6 months after both parties sign this contract. Continued services after that time will require a new
agreement.

This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.

The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
